1. Introduction

By accessing or using LegalScribe LLC’s (“LegalScribe,” “we,” “our,” or “us”) services, you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, you must discontinue use of our services.

2. Services Provided

We provide AI-powered legal automation solutions, including document intake, summarization, and related services designed to assist law firms.

3. Confidentiality & Data Security

We maintain the confidentiality of all client data, implement industry-standard safeguards, and comply with applicable data protection laws. While HIPAA-conscious in our practices, LegalScribe is not a HIPAA-covered entity unless expressly agreed in writing.

4. No Legal Advice

Our services do not constitute legal advice and are not a substitute for professional legal judgment. Outputs generated by our services must be reviewed by a licensed attorney prior to use. No attorney-client relationship is created between LegalScribe and your firm or its clients.

5. Fees & Payment

All payments are processed securely through Stripe or other designated processors. Fees and billing terms are outlined in your service agreement or onboarding documents. Late or unpaid balances may result in suspension of services.

6. Acceptable Use

You agree not to:

  • Use our services for unlawful purposes or in violation of applicable laws.

  • Infringe upon the rights of others, including intellectual property or privacy rights.

  • Interfere with or disrupt our systems, networks, or security.

7. Intellectual Property

All technology, software, branding, and content provided by LegalScribe remain our exclusive property. You are granted a limited, non-transferable license to use our services solely for your firm’s internal business purposes.

8. Limitation of Liability

To the maximum extent permitted by law, LegalScribe shall not be liable for indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability shall not exceed the amount paid by you for services in the three (3) months preceding the claim.

9. Service Level & Availability

LegalScribe aims to provide reliable and continuous service. However, we do not guarantee uninterrupted availability. Service interruptions may occur due to:

  • Internet or hosting outages outside our control

  • Third-party service disruptions (e.g., Zapier, Google, PDF.co, Squarespace)

  • Scheduled or emergency maintenance

We are not liable for downtime, delays, or data loss caused by such events. Clients are responsible for maintaining backup copies of critical files.

10. Termination

Either party may terminate services with written notice. We may suspend or terminate access for violations of these Terms. Any outstanding balances remain due upon termination.

11. Governing Law

These Terms are governed by the laws of the United States of America and the State of Wyoming, without regard to conflict of law principles.

12. Dispute Resolution & Arbitration

You agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, or use of LegalScribe’s services shall be resolved exclusively through binding arbitration conducted in Wyoming, in accordance with the rules of the American Arbitration Association (AAA).

  • The arbitration shall be conducted in English by a single arbitrator.

  • Each party shall bear its own costs, except as otherwise determined by the arbitrator.

  • The arbitrator’s decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

You waive the right to bring claims in court (except for small claims court) or to participate in class actions or jury trials.

13. Cookies & Tracking

Our website and services may use cookies, analytics, and similar tracking technologies to enhance functionality and improve user experience. These practices are further described in our Privacy Policy. By using our services, you consent to such practices.
